1. Agreement to Terms

By accessing or using ExpensiveMeals ("the Platform," "we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all users, including guests, restaurant owners, and administrators.

2. Description of Service

ExpensiveMeals is a SaaS marketplace platform connecting diners with luxury dining experiences. Our services include:

  • AI-Powered Concierge: Automated booking assistance using artificial intelligence
  • Restaurant Discovery: Curated listings of luxury restaurants
  • Booking Management: Reservation coordination between guests and restaurants
  • Restaurant Management Tools: Dashboard and analytics for restaurant partners (subscription-based)
  • Content & Blog: Thought leadership and dining guides

3. Eligibility

To use our services, you must:

  • Be at least 16 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations

Restaurant Partners must additionally:

  • Be an authorized representative of the restaurant or business
  • Have the legal right to bind the restaurant to these Terms
  • Maintain all required business licenses and permits

4. Account Registration

Creating an Account

To access certain features, you must create an account by providing:

  • Name and email address
  • Secure password
  • Optional: Phone number, organization details

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

Account Security

  • Do not share your password with anyone
  • Use a strong, unique password
  • Enable multi-factor authentication (MFA) when available
  • Log out after each session on shared devices

5. User Conduct

You agree not to:

  • Violate any local, state, national, or international law
  • Infringe upon the rights of others (intellectual property, privacy, etc.)
  • Transmit viruses, malware, or harmful code
  • Engage in spamming, phishing, or fraudulent activities
  • Scrape, harvest, or collect user data without permission
  • Impersonate any person or entity
  • Interfere with the operation of the Platform
  • Use automated systems (bots) to access the Platform without authorization
  • Post false, misleading, or defamatory content
  • Harass, threaten, or abuse other users

Violations may result in account suspension or termination and may be reported to law enforcement.

6. Concierge Booking Service

How It Works

Our AI concierge helps you find and book restaurants by:

  1. Collecting your preferences (city, cuisine, date, party size, budget)
  2. Discovering and ranking available restaurants
  3. Coordinating with restaurants via phone or API
  4. Confirming your reservation

Booking Terms

  • No Guarantee: While we strive to find suitable options, we cannot guarantee availability at specific restaurants
  • Restaurant Discretion: Final booking approval is at the restaurant's discretion
  • Accuracy: You must provide accurate information (party size, date, special requests)
  • Changes & Cancellations: Follow the restaurant's cancellation policy. Late cancellations may incur fees charged by the restaurant
  • No-Shows: Repeated no-shows may result in suspension from the concierge service
  • Special Requests: We will communicate special requests to restaurants, but cannot guarantee accommodation

Guest Responsibilities

  • Arrive on time for your reservation
  • Notify the restaurant of changes or cancellations as early as possible
  • Respect restaurant policies (dress code, minimum spend, etc.)
  • Treat restaurant staff courteously

7. Restaurant Partner Subscriptions

Subscription Plans

We offer multiple subscription tiers for restaurant partners:

  • FREE: Basic listing
  • PRO: Enhanced visibility and analytics ($299/month + 8% booking fee)
  • CONCIERGE: AI-driven concierge bookings ($499/month + 12% booking fee)

Pricing is subject to change with 30 days' notice to active subscribers.

Subscription Terms

  • Billing Cycle: Monthly or annual (as selected)
  • Auto-Renewal: Subscriptions renew automatically unless cancelled
  • Payment: Charged to your payment method on file
  • Booking Fees: Calculated as a percentage of the total booking value
  • Taxes: Prices exclude applicable taxes (VAT, sales tax, etc.)

Cancellation & Refunds

  • Cancellation: You may cancel your subscription at any time from your account dashboard
  • Effective Date: Cancellations take effect at the end of the current billing period
  • No Refunds: Subscription fees are non-refundable (except as required by law)
  • Downgrade: You may downgrade to a lower tier; the change takes effect at the next billing cycle

Restaurant Partner Obligations

Restaurant partners agree to:

  • Provide accurate business information (hours, menu, contact details)
  • Honor bookings made through our platform
  • Respond to concierge requests within a reasonable timeframe
  • Maintain appropriate licenses, insurance, and health/safety standards
  • Comply with all applicable food service regulations

Failure to fulfill bookings or misrepresenting your restaurant may result in suspension or termination.

8. Payment Terms

Payment Methods

We accept major credit cards, debit cards, and other payment methods via Stripe.

Authorization

By providing payment information, you:

  • Authorize us to charge your payment method for subscription fees and booking fees
  • Represent that you have the legal right to use the payment method
  • Agree to update payment information if it changes

Failed Payments

If a payment fails:

  • We will attempt to re-charge your payment method
  • Your access to paid features may be suspended
  • Repeated payment failures may result in account termination

Disputes

If you dispute a charge:

  • Contact us at billing@expensivemeals.com within 30 days
  • Provide details of the disputed transaction
  • We will investigate and respond within 10 business days

Chargebacks may result in account suspension pending resolution.

9. Intellectual Property

Our Content

All content on the Platform is owned by ExpensiveMeals or our licensors, including:

  • Text, images, videos, graphics
  • Logos, trademarks, service marks
  • Software, source code, algorithms
  • Design, layout, "look and feel"

You may not:

  • Copy, modify, distribute, or reproduce our content without permission
  • Use our trademarks or branding without a license
  • Reverse engineer, decompile, or disassemble our software

User-Generated Content

When you submit content (reviews, photos, feedback):

  • You retain ownership of your content
  • You grant us a license to use, display, and distribute your content for operating and promoting the Platform
  • You represent that you have the rights to submit the content and it does not violate any laws or third-party rights

We reserve the right to remove user content that violates these Terms.

DMCA Compliance

If you believe content on our Platform infringes your copyright, please contact:

We are not responsible for:

  • Third-party service failures or downtime
  • Third-party privacy practices or terms
  • Content on external websites linked from our Platform

You are subject to the terms and privacy policies of these third parties.

11. Disclaimers

Service "AS IS"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, either express or implied, including but not limited to:

  • Merchantability, fitness for a particular purpose
  • Non-infringement, accuracy, reliability
  • Uninterrupted or error-free operation

No Guarantee of Availability

We do not guarantee that:

  • The Platform will be available 24/7
  • Restaurants will have availability
  • Concierge bookings will always succeed
  • Third-party integrations will function continuously

Restaurant Quality

  • We curate restaurant listings but do not control their operations
  • We are not liable for food quality, service, hygiene, or safety at restaurants
  • Dining experiences are subject to each restaurant's standards

AI Concierge

  • Our AI concierge is an automated tool and may make errors
  • We do not guarantee perfect matching or booking success
  • AI recommendations are based on available data and may not suit all preferences

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EXPENSIVEMEALS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from use or inability to use the Platform
  • Third-party conduct (restaurants, other users)
  • Unauthorized access to your data
  • Errors, omissions, or inaccuracies in content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100 (WHICHEVER IS GREATER).

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless ExpensiveMeals and its affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your user-generated content
  • Your bookings or interactions with restaurants

14. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

15. Dispute Resolution

You may terminate your account at any time by:

Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • We are required to do so by law
  • We discontinue the Platform (with 30 days' notice)

Effects of Termination

Upon termination:

  • Your access to the Platform will cease
  • Subscription fees for the remainder of the billing period are non-refundable
  • Certain provisions (indemnification, limitation of liability, dispute resolution) survive termination
  • We may retain your data as required by law or our Privacy Policy

17. Modifications to Terms

We may update these Terms from time to time. We will notify you by:

  • Posting a notice on the Platform
  • Sending an email to your registered address
  • Updating the "Last Updated" date

Material changes will take effect 30 days after notice. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

Severability

Waiver

Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations to any successor or affiliate.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, war, pandemics, government actions, strikes, internet outages).

Language

These Terms are written in English. Translations may be provided for convenience, but the English version controls in case of conflict.
